Welcome to RemixRelease.com ("RemixRelease", "we", "our", or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website and services related to remix licensing, metadata management, and distribution of derivative musical works (the "Service"). By using RemixRelease, you agree to these Terms. If you do not agree, do not use our Service.

1. Eligibility

You must be at least 13 years old to use our Service. If you are under the age of majority in your jurisdiction, you must have the consent and supervision of a parent or legal guardian.

You affirm that you are legally able to enter into this agreement and comply with all applicable laws and regulations.

2. User Content and Ownership

You retain ownership of any musical content or metadata ("User Content") you upload, provided you have the legal rights to use, remix, adapt, or distribute the material.

By uploading content, you grant RemixRelease a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to manage, promote, and distribute your remix or derivative work through digital platforms and metadata systems.

You warrant and represent that:

• You own or have legally obtained all rights necessary to distribute the remixed or derivative content.

• Your content does not infringe any third-party rights, including copyright, trademark, or rights of publicity or privacy.

• You will not upload remixes that impersonate, clone, or deepfake real individuals without written consent.

• Where applicable, you have obtained any required licensing or transformation rights from the original copyright holders.

• You understand that remixing copyrighted material may require direct licensing, and it is your responsibility to secure such rights prior to distribution.

• You guarantee that each remix you upload to RemixRelease has been legally cleared for licensing, and that you are ready and willing to provide documentation proving the legality and proper licensing of your remix upon request by RemixRelease, any third-party platform, or a rights holder.

• You confirm that you are only uploading content that has been properly licensed and cleared, and that you assume full legal responsibility for the authenticity of such licensing.

RemixRelease is not responsible for verifying the originality, authorship, or legality of your content and disclaims all liability arising from it.

3. Prohibited Content

You agree not to upload, distribute, or promote content that:

• Violates any intellectual property rights or uses samples or master recordings without proper authorization.

• Uses AI to impersonate or clone artists without permission.

• Contains misleading, defamatory, obscene, harassing, or illegal material.

• Violates the terms of service of any third-party platform to which RemixRelease may distribute or deliver content.

We reserve the right to remove any content or suspend access that violates these Terms without notice.

4. Remix and Distribution Services

RemixRelease offers tools and services to assist in the registration, licensing, and distribution of legally transformed derivative works. While we offer guidance and metadata structuring to facilitate licensing and reduce the risk of takedown, we do not guarantee that your remix is protected from legal action or content removal.

We do not guarantee:

• That your remix will be accepted by platforms.

• That you will avoid copyright claims or takedown notices.

• That third parties will not dispute the legality of your work.

You are solely responsible for clearing samples, transformations, or source materials with the original rights holders.

5. Royalties and Payments

RemixRelease collects royalties or usage revenue from supported platforms and distributes earnings to users according to our revenue model. Payment is subject to:

• Accurate and verified payment details.

• Compliance with local and international tax reporting.

• Any applicable service or administrative fees disclosed to you.

Payment Schedule: Royalties are processed on a Net-60 basis unless otherwise stated.

Revenue Split: By default, RemixRelease retains a 25% service commission. The remaining 75% is paid to the rights-cleared account holder. This may vary based on individual agreements.

We are not liable for payment delays caused by third-party reporting cycles, bank issues, or incomplete licensing documentation.

6. Contract Duration and Termination

By creating an account, you agree to a contract with RemixRelease with a two (2) year duration. This renews automatically unless cancelled in writing 90 days before the end of the current term.

7. Account Suspension or Termination

We may suspend or terminate your account if:

• You breach these Terms.

• You upload content that violates copyright law or impersonates another artist.

• We receive repeated, substantiated copyright claims.

• Your account poses a legal or reputational risk to RemixRelease.

We reserve the right to withhold or void royalty payouts in the event of proven infringement.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available." RemixRelease disclaims all warranties, express or implied, including but not limited to merchantability or fitness for a particular purpose. We do not warrant that the Service will be uninterrupted, error-free, or immune from takedowns initiated by third-party platforms or rights holders.

9. Limitation of Liability

To the maximum extent permitted by law, RemixRelease shall not be liable for:

• Indirect, incidental, punitive, or consequential damages.

• Revenue or data loss.

• Platform-level takedowns or enforcement actions.

• Claims arising from your failure to obtain necessary licenses or permissions for your remix.

Our total liability to you shall not exceed $100 USD or the amount paid to RemixRelease in the prior 3 months, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless RemixRelease, its owners, officers, affiliates, employees, agents, and licensors from any and all claims, liabilities, losses, damages, costs, or legal fees arising from:

• Your use of the Service.

• Your breach of these Terms.

• Any third-party claim alleging that your content infringes or violates their rights.

• Any legal dispute or consequence related to the remixing of copyrighted works.

This clause survives the termination of your account or use of the Service.

11. Updates to These Terms

We may update these Terms at any time. The revised version becomes effective upon posting. Continued use of RemixRelease means you accept the new Terms.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Nevada, USA. Any legal dispute must be filed in the courts of Las Vegas, Nevada.

13. Severability

If any provision of these Terms is found unenforceable, the rest will remain valid and enforceable.
